Director Compensation

CenturyLink currently provides the following annual compensation to its outside directors -- those directors who are not employees of the Company:

• Cash Compensation
  • Annual retainers and meeting attendance fees
  • Additional annual retainers for each committee chair, the Non-Executive Chairman and the Non-Executive Vice Chairman
• Equity Compensation
  • Annual restricted stock grants
